01Acceptance of these Terms

These Terms of Service ("Terms") are a legal agreement between you ("you", "your") and DAX-MD ("we", "us", "our") covering your use of the DAX-MD Telegram userbot, its mini-app console, and any related services we operate (together, the "Service").

By pairing your Telegram account, using the mini-app, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

02What DAX-MD is

DAX-MD is a userbot. It connects to your own Telegram account using a session you authorise, and performs actions — replies, reactions, deletions, broadcasts, chat exits, scheduled messages, and similar — as you, from your account, in your chats.

DAX-MD is not affiliated with, endorsed by, or operated by Telegram. Telegram FZ-LLC has no relationship with the Service, and nothing in these Terms obligates Telegram to do anything.

The Service runs on our servers and continues to run until you remove it with /stop or we terminate access under these Terms.

03Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of legal majority in your jurisdiction, you must have permission from a parent or legal guardian.

You must not be barred from using the Service under the laws of your jurisdiction, and you must not have had access revoked by us.

04Your account and session

You are responsible for:

  • The Telegram account you pair. You confirm you have full authority over that account and are not pairing an account that belongs to someone else.
  • Everything the Service does as you. Replies, broadcasts, deletions, reactions, and any other action performed through your session are your responsibility, not ours.
  • Your own security. Keep your Telegram account safe. Do not share your login code or 2FA password with anyone, including us. If you suspect your session has been compromised, use /stop immediately and end the session from Settings → Devices.

We encrypt session strings at rest, but no security system is perfect. If you believe your account has been accessed without your consent, you must act on Telegram's side as well as ours — /stop, then Settings → Devices in Telegram.

05Acceptable use

You agree not to use the Service to:

  • Send spam, unsolicited bulk messages, or automated messages to people who have not opted in.
  • Harass, stalk, threaten, defraud, or impersonate any person or entity.
  • Distribute illegal content, including content that sexualises minors, incites violence, or violates export or sanctions law.
  • Distribute malware, phishing links, or deceptive content.
  • Circumvent Telegram's rate limits, anti-spam systems, or Terms of Service.
  • Attack, probe, or reverse-engineer our infrastructure, or attempt to extract source code or keys from the Service.
  • Interfere with other users' access to the Service, or overload our servers.
  • Resell, sublicense, or white-label access to the Service without our prior written permission.

We may suspend or terminate your access for violations of this section, at our discretion and without prior notice.

06Telegram's rules still apply

Your use of the Service is in addition to — not instead of — Telegram's own Terms of Service and Privacy Policy. Nothing about DAX-MD exempts you from them.

Bans. Telegram may restrict or ban your account if it detects spam-like behaviour, even where the behaviour is automated through a third-party tool. DAX-MD uses the official MTProto protocol and applies rate limits and adaptive backoff to reduce the risk, but we cannot guarantee your account will not be restricted or banned. Account restrictions are a Telegram-side action, not ours, and we cannot reverse them.

07Free and Business plans

Regular plan — free forever. Includes reactions, story-react, anti-link, anti-delete, anti-read, always-online, auto-bio, auto-leave, social-media downloader, media player, chat management, and other features as offered.

Business plan — free, with a re-confirmation requirement. Business features (AI auto-reply, Business Secretary, Broadcast, auto-reply rules, scheduled messages, custom commands, analytics, AI sandbox) are free but require you to confirm your Business use once every 14 days. If you do not confirm within the window, Business features become inaccessible until you confirm again; your configurations are preserved.

There is no charge for the Regular or Business plan. We do not ask for a card. Optional paid add-ons (for example, a short-duration Premium unlock for Broadcast) may be added in future — those will be clearly priced before purchase and are covered by the same Terms.

We may change features, limits, and availability at any time. We will give reasonable notice of any change that materially reduces what you get.

08Affiliate program

The Affiliate program lets you earn Telegram Stars ("Stars") when someone you invite pairs their account through your unique invite link.

  • Reward per pairing: 2⭐ for each successful, verified pairing attributed to your invite link.
  • Withdrawal threshold: 15⭐.
  • Payout window: within 2 working days of a valid withdrawal request.
  • Forfeit on /stop: any unwithdrawn Stars balance is forfeited when you run /stop or your account is otherwise removed.

Abuse. Self-referral (creating or pairing an account you control in order to credit yourself), bot-driven referral generation, and any other manipulation of the Affiliate program are prohibited. We may reverse Stars, deny withdrawals, or suspend access for abuse.

Taxes. You are responsible for any tax consequences of Stars you receive. We don't withhold tax.

09Your data

Our collection and use of data is described in our Privacy Policy. In brief:

  • We store your Telegram ID, the phone number you paired with, your encrypted session string, your settings, and aggregate usage counters.
  • We do not store your login code or 2FA password.
  • We do not keep a message archive. Activity logs expire after 30 days.
  • Running /stop deletes your session and settings. Some records remain: aggregate counters, plan history, report records, and a note of your privacy consent. Affiliate Stars are forfeited.

You are responsible for having the right to process any messages the Service handles on your behalf, including under any applicable privacy law.

10Third-party services

The Service uses third-party providers — for example, AI inference, text-to-speech, image generation, video downloaders, and Cloudflare for the pairing CAPTCHA. Those providers are governed by their own terms and privacy policies. We are not responsible for their availability, accuracy, or actions.

When you use the media player or the downloader, your device may contact the provider directly. In those cases the provider can see your IP address and the link you paste.

11Availability and changes to the Service

The Service is provided on a best-effort basis. We do not guarantee uptime, latency, or feature availability. Maintenance, upstream Telegram outages, and third-party provider failures can all interrupt the Service without notice.

We may add, change, or remove features at any time. We may also suspend the Service entirely, in which case we will delete your session and settings and give reasonable notice where we can.

12Termination

You may stop using the Service at any time by sending /stop to @DAXMDrobot. That deletes your session and settings immediately and stops all automations.

We may terminate your access — with or without notice — if you violate these Terms, if we suspect fraud or abuse, if your account presents a security risk to the Service or other users, or if required by law. Where the termination is for convenience rather than cause, we will give you reasonable notice and a chance to export what you can.

If your Telegram session is ended by Telegram itself, we keep your settings for 30 days so that a re-pair restores them. After 30 days they are deleted.

Termination does not waive any right we have to recover amounts owed, or limit any claim arising from your breach.

13Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

We do not warrant that the Service will meet your requirements, that it will be free of bugs or interruptions, that it will be accurate or reliable, or that any error will be corrected. We do not warrant that AI-generated replies are accurate, appropriate, or non-harmful — you are responsible for reviewing any AI output your session sends.

14Limitation of liability

To the maximum extent permitted by law, and except where a limitation is prohibited by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or relating to your use of the Service — whether the claim is based on warranty, contract, tort, or otherwise, and whether or not we were advised of the possibility of such damage.

To the maximum extent permitted by law, our aggregate liability for any and all claims arising out of or relating to these Terms or the Service is limited to the greater of (i) the total amount you have paid us for the Service in the 12 months preceding the claim, and (ii) USD 10.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded by law.

15Indemnification

You agree to indemnify, defend, and hold harmless DAX-MD and its operators, developers, and contractors from any claim, damage, loss, or expense (including reasonable legal fees) arising out of (a) your use of the Service, (b) content you cause the Service to send, (c) your violation of these Terms, or (d) your violation of any third party's rights, including Telegram's.

16Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, where the change is material, notify you through the bot or the mini-app before it takes effect.

If you continue using the Service after a change takes effect, you are deemed to have accepted the updated Terms. If you do not accept, your only remedy is to stop using the Service and run /stop.

17Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles.

Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Nigeria, unless mandatory local law in your country of residence provides otherwise. Before filing any formal claim, you agree to contact us at the address below and attempt to resolve the dispute in good faith for at least 30 days.
